1. Agreement to Terms

By accessing or using InterviewWhisperer ("the Service"), provided by Ellis Labs LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

InterviewWhisperer is a desktop application that provides real-time audio transcription, AI-powered answer generation, and screenshot analysis. The Service runs locally on your device and connects to our servers for license verification and API processing.

3. User Responsibilities

You are solely responsible for:

  • Complying with all applicable federal, state, and local laws regarding recording, consent, and privacy in your jurisdiction.
  • Obtaining all necessary consents before using the Service to record or transcribe any conversation.
  • Ensuring your use of the Service does not violate any non-disclosure agreements, confidentiality obligations, or contractual restrictions you are subject to.
  • All content generated, captured, or processed through your use of the Service.

The Service is a productivity tool. We do not control, and are not responsible for, how you employ the Service. We make no representations about the legality of recording in any particular jurisdiction.

4. License and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or professional purposes, subject to these Terms. You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Modify, adapt, translate, or create derivative works based on the Service.
  • Redistribute, sublicense, rent, lease, or lend the Service or your license key to any third party.
  • Use the Service to develop a competing product or service.
  • Circumvent or attempt to circumvent any license verification, usage limits, or security measures.

5. Payment and Subscriptions

The Service is offered as a monthly subscription or a one-time 3-month purchase. All payments are processed through Stripe. Monthly subscriptions renew automatically until cancelled. 3-month purchases grant access for ninety (90) days from the date of purchase; after expiration, users may purchase again to extend access.

We offer a 7-day money-back guarantee. If you are unsatisfied with the Service within the first 7 days of purchase, contact us for a full refund.

6. License Keys

Upon purchase, you will receive a unique license key. This key is personal to you and may not be shared, sold, or transferred. We reserve the right to deactivate license keys that are being shared or used in violation of these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELLIS LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ellis Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including recording consent laws, NDAs, or confidentiality agreements.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your license to use the Service will immediately cease. Sections 7, 8, 9, and 10 survive termination.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
